1. Eligibility & Application Review
Membership is strictly available to applicants meeting the following objective criteria:
• Registered startups and companies legally operating within the Arab Republic of Egypt.
• Founders, co-founders, and authorized legal partners of registered startups.
• Applicants who provide complete, accurate, and verifiable information during the registration process.
StartupEgypt reserves the right to approve or reject any membership application based on fulfillment of these eligibility criteria and compliance with its internal NGO regulations.
2. Required Documentation
Applicants must upload valid, legible, and supporting documents for verification, including:
• National ID or Valid Passport of the founder/legal representative.
• Current Commercial Registration (CR).
• Valid Tax Card.
• Company incorporation documents or official articles of association.
• Any supplementary documentation reasonably requested by StartupEgypt for compliance and identity verification.
By submitting, applicants warrant that all documents are accurate, authentic, and legally valid.
3. Membership Fees & Billing Workflow
To eliminate administrative overhead, financial risk, and payment gateway chargebacks, the billing process is structured as follows:
1. Application Submission — Applications are submitted for verification. No fees are processed at this stage.
2. Review & Approval — StartupEgypt reviews the application against eligibility criteria.
3. Invoicing & Payment — Upon conditional approval, the applicant is issued an invoice for the annual membership fee.
4. Activation — Membership becomes fully active only after successful payment receipt.
Non-Refundability: Once an application is approved, verified, and payment is processed, the annual membership fee is strictly non-refundable.
NGO Regulatory Compliance: Membership fees are collected as non-profit community dues dedicated solely to the NGO's developmental purposes, in strict accordance with Egyptian NGO Law (Law No. 149 of 2019).
4. Membership Benefits & Program Limitations
Paid members in good standing gain access to participate in StartupEgypt's ecosystem benefits, which may include:
• Accelerator and Incubation Programs.
• Mentorship and Advisory Programs.
• Business Support Services and legal/tax clinics.
• Exclusive Networking Events and Strategic Partnerships.
• Perks and Exclusive Partner Offers.
• Investment Readiness Activities and investor matchmaking.
Important Notice: Membership does not guarantee automatic acceptance, entry, or funding from any specific accelerator, grant, corporate partnership, or investment program. Each program maintains its own distinct application, selection criteria, and independent review panel.
5. Data Protection & Compliance (Law No. 151 of 2020)
StartupEgypt processes and stores all personal and corporate data in compliance with the Egyptian Personal Data Protection Law (Law No. 151 of 2020).
Consent: By applying, you grant explicit consent to the processing of your data for membership administration, program delivery, and verification.
Data Rights: Members retain the legal right to access, rectify, or request the deletion of their personal data by submitting a formal request to our data compliance team at membersonly@startupegypt.org.eg.
Third-Party Disclosure: StartupEgypt will not sell, lease, or disclose your personal information to third parties except where strictly required by Egyptian law or with your explicit, written consent.
6. Information Accuracy & Maintenance
Members bear sole responsibility for ensuring that all information, business metrics, and legal documents submitted remain accurate, complete, and up to date throughout their tenure.
Providing false, intentionally misleading, or fraudulent information constitutes a material breach of these Terms and will result in immediate suspension or termination of membership without a refund.
7. Defined Code of Conduct
Members must maintain professional, ethical, and lawful standards. StartupEgypt reserves the right to suspend or terminate membership for clearly defined "Misconduct," which includes:
• Engaging in harassment, discrimination, defamation, or abusive behavior toward other members, mentors, partners, or staff.
• Committing fraudulent, deceptive, or illegal business practices under Egyptian law.
• Infringing upon the intellectual property or confidentiality rights of other community members.
• Misusing StartupEgypt services, assets, or platform spaces for unauthorized commercial solicitation or exploitation.
8. Intellectual Property (IP) Rights
Members retain exclusive ownership of their respective pre-existing and newly developed intellectual property, including business ideas, products, code, technologies, and corporate assets.
StartupEgypt claims no ownership, title, or interest in any member's business concepts, proprietary materials, or products.
9. Confidentiality & Third-Party Liability Waiver
Organizational Effort: StartupEgypt will employ standard commercial safeguards to maintain the confidentiality of information submitted during official evaluations.
Mentor Status: While StartupEgypt requires all official mentors, advisors, and ecosystem experts to execute Non-Disclosure Agreements (NDAs) prior to engagement, members acknowledge that these mentors are independent participants.
Member Responsibility: Members bear sole responsibility for safeguarding their highly sensitive trade secrets, unpatented proprietary technologies, or pitch data during open networking, group mentoring, or public events. StartupEgypt shall not be held vicariously liable for independent breaches of confidentiality committed by third-party mentors or other members.
10. Limitation of Liability
No Guarantees: StartupEgypt provides structural networking, educational, mentoring, and business support services. It does not guarantee investment, funding, commercial viability, revenue growth, or specific business outcomes.
Liability Cap: In no event shall StartupEgypt's total aggregate liability arising out of or related to this agreement, whether in contract, tort, or otherwise, exceed the total amount of the annual membership fee actually paid by the member to StartupEgypt in the twelve (12) months preceding the event giving rise to such liability.
11. Membership Suspension & Termination
StartupEgypt may suspend or terminate a membership if a member:
• Violates any material clause of these Terms & Conditions.
• Submits falsified or expired legal documentation.
• Engages in defined Misconduct as outlined under Section 7.
• Acts in a manner that legally, operationally, or reputationally harms StartupEgypt, its staff, or its community.
12. Notice Period for Amendments
StartupEgypt reserves the right to update or amend these Terms & Conditions to reflect regulatory or operational changes.
Members will be notified of any material changes via their registered email address or the official community platform at least thirty (30) calendar days before the modifications take effect.
Continued participation in the membership after the 30-day notice period constitutes binding acceptance of the revised Terms.
13. Indemnification
Members agree to indemnify, defend, and hold harmless StartupEgypt, its board of directors, employees, and partners from and against any third-party claims, damages, liabilities, losses, or expenses (including reasonable legal fees) arising out of the member's breach of these Terms, violation of applicable Egyptian laws, or infringement of any third-party intellectual property rights.
14. No Partnership or Agency
Nothing contained in these Terms & Conditions shall be construed as creating a partnership, joint venture, legal agency, or employment relationship between StartupEgypt and any member. Members are not authorized to legally bind StartupEgypt or represent themselves as agents, executives, or official spokespersons of the NGO.
15. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by, construed, and enforced in accordance with the laws and regulations of the Arab Republic of Egypt.
Any disputes arising out of or in connection with these Terms that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the competent courts of Cairo, Egypt.
Member Declaration & Consent
By completing the payment process, I explicitly confirm that:
• I have read, understood, and agree to comply with these Membership Terms & Conditions and all referenced operational policies.
• All legal documentation and company information submitted are true, authentic, and accurate.
• I understand that membership constitutes community access and does not guarantee acceptance into specific programs, accelerators, or funding opportunities.
• I grant explicit, unambiguous consent to the secure processing of my personal and company information for membership administration, validation, and program delivery in accordance with Law No. 151 of 2020.
